This Agreement is established between you and TutorsTap Inc., a company registered in Sterling, VA. As a member of our platform, you act as an independent vendor. It is your responsibility to ensure that your income is properly declared in your home country. TutorsTap is not your employer, client, or contractor.
You must uphold confidentiality regarding interactions with consultants. This includes refraining from sharing personal information, written or oral communication, or files outside the tutorship relationship unless otherwise agreed. TutorsTap disclaims liability for breaches of confidentiality.
TutorsTap reserves the right to modify this agreement with prior notice. We may terminate your account and withhold funds if you breach the terms of this agreement.
TutorsTap provides an online platform connecting tutors and consultants for educational sessions via text chat and document collaboration. TutorsTap is not a party to any agreements between tutors and consultants and does not control their conduct. Accordingly, TutorsTap disclaims liability for actions taken by tutors, consultants, or third parties.
If specific sections of the platform have additional terms and conditions, those terms take precedence over this agreement for those areas.
By using TutorsTap‘s services, you acknowledge that you have read, understood, and agreed to these terms. If you accept these terms on behalf of a company or legal entity, you confirm that you have the authority to bind that entity.

If you are registered as a Tutor and your monthly fee exceeds $0.00, you are entitled to payments from TutorsTap, subject to the following terms:
Tutors are fully accountable for their actions and any information they share on the platform. They agree to indemnify TutorsTap for any liabilities arising from their actions or published content.
TutorsTap reserves the right to modify tutor payment rates at its sole discretion. In cases of unavoidable circumstances, payments may be withheld or canceled with prior notice. Tutors will be notified of any rate changes, which will take effect 30 days from the date of notice. If you are continuing to provide sessions after the changes are effective, you agree to the revised rates. If you do not accept the new rates, your sole recourse is to cease providing tutoring services, but only after completing your obligations to current assignments. To discontinue, notify TutorsTap at info@TutorsTap.com to avoid further assignments.
All payments are subject to applicable taxes. Tutors using Stripe are responsible for charging and deducting any required sales tax.

The Services, TutorsTap, and the entire exclusive property of TutorsTap and its licensors, protected by trademark and intellectual property laws. You may not modify, copy, distribute, or use any content for commercial purposes outside your role with TutorsTap.
TutorsTap grants you a limited, non-exclusive, and non-transferable license to access its content solely for tutoring purposes. You may not sublicense, modify, or exploit the content except as expressly permitted.
You are solely responsible for ensuring and maintaining the hardware, software, and internet services required to provide sessions, including all associated costs. TutorsTap is not liable for data loss or damages caused by third-party services.

Both parties agree to maintain confidentiality regarding proprietary information shared during the tutorship. TutorsTap is not responsible for the accuracy, availability, or content of third-party links on the Site. Use of these links is at your own risk.

TutorsTap may suspend or terminate your account without notice if you breach these terms. You may deactivate your account by emailing info@TutorsTap.com, but payments will not be made for incomplete sessions.
The Site and Services are provided "as is" without warranties. TutorsTap does not guarantee uninterrupted operation, security, or error correction. You are responsible for ensuring the security of your systems.
You agree to indemnify TutorsTap from claims, damages, or expenses arising from your use of the Site, Services, or any violation of these terms.
TutorsTap‘s liability is limited to the extent of the tutor payment amount or €200. It is not liable for indirect, incidental, or consequential damages.
TutorsTap disclaims liability for copyrighted materials shared by tutors on their profiles. Responsibility for compliance with copyright laws lies with the tutors. Alleged infringements can be addressed through TutorsTap’s DMCA process.
All trademarks, service marks, logos, trade names, and other proprietary designations used by TutorsTap are trademarks or registered trademarks of TutorsTap. Any other trademarks, logos, or service marks mentioned belong to their respective owners.
This Agreement is governed by the laws of the United States, the State of Wyoming, and the European Union. Any legal actions or disputes arising under this Agreement shall be resolved in the City of Sheridan, Wyoming.
These Tutor Terms of Service represent the complete and exclusive agreement between you and TutorsTap concerning the Site, Services, and Collective Content. They replace any prior written or oral agreements related to the same subject matter.
You may not assign or transfer this Agreement, whether by operation of law or otherwise, without prior written consent from TutorsTap. Any unauthorized attempt to assign or transfer will be considered null and void. TutorsTap retains the right to assign or transfer this Agreement without restriction. These Terms bind and benefit both parties, along with their successors and permitted assigns.
